Terms and Conditions

Effective Date: The date on which the Attendee registers for or attends the Event.

Section 1: Scope, Interpretation, and Definitions

1.1 Scope of Agreement

This legally binding Agreement (“Agreement”) is hereby executed and effective between the Attendee and Summit Americas Corp. (“Organizer”), collectively referred to as the “Parties,” and governs the comprehensive terms and conditions governing the provision and utilization of services, including, but not limited to, the Attendee’s participation in the specific event (hereinafter referred to as the “Event”) occurring on the agreed-upon date and venue. Any capitalized terms not explicitly defined herein shall be construed as per their definitions set forth during the registration process.

1.2 Capitalized Termsment

Any capitalized term used herein but not otherwise defined shall have the meaning provided during registration or as defined in this Agreement.

1.3 Definitions

  • Attendee: All individuals, groups, entities, or organizations participating in the Event -whether their participation is paid, pending payment, or complimentary. This includes:
    • Participants: Those registered to attend sessions, workshops, or networking events.

    • Exhibitors and Sponsors: Parties with commercial or promotional roles.

    • Speakers, Panel Members, and Moderators: Presenters, discussion participants, or stage performers.

    • Media Representatives: Journalists, reporters, bloggers, etc.

    • Governmental, Non-Governmental, and Associative Entities: Representatives from public bodies,
      associations, or NGOs

1.4 Event

The conference, seminar, workshop, or other gathering organized by Summit Americas Corp., as detailed in the Event program.

Section 2: Attendance and Participation

2.1. Access and Participation.

Registration entitles the Attendee to participate in the scheduled conferences, seminars, sessions, and networking activities as outlined in the Event program.

2.2. Business Meetings.

Participation in business meetings is subject solely to the discretion of the involved parties; submission of meeting preferences does not guarantee a meeting.

2.3. Professional Conduct and Right to Refuse Admission.

  • Attendees must maintain professional conduct and comply with all event rules set by the Organizer and the venue.
  • The Organizer reserves the right to refuse admission or eject any Attendee who:
    • Fails to comply with the Code of Conduct,
    • Engages in disruptive or unprofessional behavior, or
    • Poses a commercial, reputational, or security risk to the Event.


2.4. Intellectual Property of Disseminated Materials.

Materials provided during the Event are protected by intellectual property rights; unauthorized use is prohibited.

Section 3: Intellectual Property Rights

3.1. Event Content.

All intellectual property rights in content presented during the Event remain the exclusive property of the respective owners.

3.2. Attendee-Generated Content.

Intellectual property introduced or generated by an Attendee during the Event shall remain that Attendee’s property unless otherwise agreed in writing.

3.3. Usage Restrictions.

Attendees may not copy, distribute, or use event content beyond permitted purposes without the explicit consent of the Organizer or content owner.

Section 4: Financial Obligations and Cancellation

4.1. Payment Terms and Discounts.

The Attendee agrees to pay all fees (“Total Fees”) as specified during registration, including any applicable discounts (e.g., Early Bird or Special Group rates) that require timely payment.

4.2. Additional Expenses.

The Attendee is responsible for any additional expenses such as accommodation or travel.

4.3. Cancellation and Transferability.

Cancellation by the Attendee is subject to the Organizer’s Cancellation Policy (which may include penalties or partial refunds). Bookings are transferable only with the Organizer’s prior approval; any substitute Attendee must agree to this Agreement

Section 5: Limitations on Marketing Activities

5.1. Marketing by Attendees.

Attendees, including Exhibitors and Sponsors, may only conduct marketing activities in designated areas approved by the Organizer.

5.2. Promotional Restrictions.

Marketing activities must not disrupt event proceedings, interfere with other Attendees, or violate intellectual property rights.

5.3. Prohibited Activities.

The following activities are strictly prohibited without prior written approval from the Organizer:

  • Distribution of promotional materials outside designated areas.
  • Aggressive solicitation or unapproved sales pitches.
  • Unauthorized use of the Organizer’s trademarks, logos, or branding materials.

Section 6: Modifications and Force Majeure

6.1. Modifications and Alterations.

The Organizer reserves the right to postpone, amend, or alter the Event’s timing, location, or content if circumstances render the Event commercially unviable. In such cases, refunds may not be issued unless otherwise stated.

6.2. Force Majeure.

The Organizer is excused from performance of its obligations when prevented by causes beyond its reasonable control (e.g., mechanical failures, acts of God, natural disasters, pandemics, terrorism, or governmental actions)

Section 7: Compliance, Conduct, and Safety

7.1. Compliance with Laws and Regulations.

Attendees shall comply with all applicable local, state, and federal laws during the Event.

7.2. Anti-Corruption and Bribery.

All parties shall act in compliance with applicable anti-corruption and anti-bribery laws.

7.3. Code of Conduct.

Attendees must abide by the Organizer’s Code of Conduct, which includes policies on harassment, discrimination, and other misconduct.

7.4. Health and Safety.

Attendees must adhere to all health and safety regulations imposed by the venue, local authorities, and the Organizer

Section 8: Cybersecurity and Data Protection

8.1. Data Protection and Privacy.

Personal data provided by Attendees will be managed in accordance with applicable U.S. data privacy laws and the Organizer’s Privacy Policy.

8.2. Cybersecurity Measures.

The Organizer will implement appropriate security measures to protect Attendee data. Any cybersecurity breaches will be handled per relevant laws and regulations.

8.3. Third-Party Data Sharing.

Attendee data may be shared within the Organizer’s affiliated group and with approved external partners unless an opt-out is provided. Data will be retained only as long as necessary.

Section 9: Sponsors, Exhibitors, and Insurance

9.1. Sponsors and Exhibitors.

In the event of an Organizer-initiated cancellation, Sponsors and Exhibitors will be offered alternative opportunities or a full refund. No refunds will be provided for cancellations initiated by Sponsors or Exhibitors.

9.2. Insurance Requirements.

Exhibitors, sponsors, and other designated participants must maintain adequate insurance coverage for the duration of the Event.

Section 10: Additional Operational Provisions

10.1. Networking and Matchmaking Services

If provided, the Organizer acts solely as a facilitator for networking or matchmaking services and is not responsible for any disputes arising between Attendees using these services.

10.2. Post-Event Use of Materials.

Guidelines for the use of Event materials (including recordings) after the Event will be provided by the Organizer; Attendees must adhere to these guidelines.

Section 11: Liability, Dispute Resolution, and Indemnification

11.1. Limitation of Liability for Third-Party Actions.

The Organizer is not liable for acts or omissions by third-party service providers, vendors, or partners associated with the Event.

11.2. Indemnification.

The Attendee agrees to indemnify, defend, and hold harmless the Organizer from and against any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from the Attendee’s acts or omissions related to the Event.

11.3. Dispute Resolution.

In the event of a dispute, the Parties agree first to engage in good-faith negotiations for 30 days; if unresolved, the dispute shall be submitted to binding arbitration in New York, U.S., in accordance with applicable law.

Section 12: General Provisions

12.1. Governing Law and Jurisdiction.

This Agreement is governed by and construed in accordance with the laws of the State of New York.

12.2. Amendments.

The Organizer reserves the right to amend this Agreement at any time, with changes becoming effective upon notification.

12.3. Severability.

If any provision is deemed unenforceable, the remainder shall continue in full force and effect.

12.4. Non-Discrimination.

The Organizer is committed to an inclusive environment and prohibits discrimination or harassment.
